By purchasing any product, accessing any resource, attending any event (live or recorded), or otherwise engaging with NathanielSolace.com, its brands (including ThoughtLeaderAI), content, platforms, or services, you (“Participant,” “Buyer,” “You”) agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these terms, do not purchase, access, or participate.

Your completion of checkout constitutes acknowledgment and acceptance of every provision contained herein.

2. Nature of the Offering

All products, webinars, tutorials, guides, PDFs, recordings, and resources provided through NathanielSolace.com and the ThoughtLeaderAI brand are educational and informational in nature. They are designed to introduce you to AI tools (including but not limited to Claude by Anthropic), workflows, and implementation strategies.

Nothing provided constitutes professional, legal, financial, medical, or technological advice. You are receiving curated information, frameworks, and demonstrations assembled by Nathaniel Solace and his team. You are responsible for how you choose to apply this information.

2.2 No Guarantee of Continued Access to Third-Party Tools

Our products teach you how to use AI tools, including Claude, Make.com, Telegram, Kajabi, and other third-party platforms. We do not own, operate, or control these tools. Access to these platforms is governed by their own terms of service, pricing, and availability, all of which may change at any time without notice from us.

4. Refund Policy

No refunds are available under any circumstances unless explicitly authorized in writing by Nathaniel Solace at his sole and absolute discretion.

By opting in to any resource on NathanielSolace.com or through the ThoughtLeaderAI brand (including but not limited to free downloads, email list signups, webinar registrations, community access, or product purchases), you acknowledge that you are entering a private space as a consenting adult.

This is not a public forum. It is a curated environment assembled by Nathaniel Solace. Whether you arrived through a free opt-in or a paid purchase, your participation constitutes voluntary entry into a private arrangement between you and Nathaniel Solace / Solace Labs. By providing your information or funds in exchange for access, you are agreeing to operate within this private space under the terms outlined herein.

6. Recording, Media & Marketing Rights

6.1 Events and Calls Are Recorded

All webinars, workshops, group calls, live events, and interactive sessions hosted through NathanielSolace.com or the ThoughtLeaderAI brand are recorded. By attending, you consent to being recorded in audio, video, and/or photographic format.

6.2 Grant of Usage Rights

By participating in any recorded event, you grant Nathaniel Solace and Solace Labs a perpetual, royalty-free, worldwide, non-exclusive license to use, reproduce, edit, distribute, and display your likeness, voice, name, and contributions in any medium, including but not limited to: marketing materials, promotional videos, testimonials, course content, and email campaigns.

6.3 Takedown Courtesy

While you grant full usage rights as described above, we extend the following courtesy: if you see any specific piece of content featuring you that you would like removed, contact us and we will take it down promptly and without question.

This courtesy does not constitute a legal obligation, waiver of previously granted rights, or precedent. It is offered in good faith as a reflection of how we operate.

6.4 Your Content

Any ideas, strategies, feedback, testimonials, or content you voluntarily share during events, in communities, or in communications with Nathaniel Solace or his team may be used as described in Section 6.2. If you do not wish for something to be used, do not share it in these contexts, or notify us in writing at the time of sharing.

7. Intellectual Property

7.1 Ownership

All content, materials, products, frameworks, systems, code, copy, and creative work provided through NathanielSolace.com and the ThoughtLeaderAI brand are the intellectual property of Nathaniel Solace and/or Solace Labs. This includes AI operator configurations, prompt packs, workflow blueprints, tutorial content, webinar recordings, and website design.

7.2 License to Use

Upon purchase, you receive a personal, non-transferable, non-exclusive license to use the purchased materials for your own business or personal use. You may not:

9. Assumption of Risk & Limitation of Liability

9.1 Assumption of Risk

You acknowledge that AI tools are evolving rapidly and may produce unexpected, inaccurate, or undesirable outputs. You are solely responsible for reviewing, verifying, and approving any output generated by AI tools. The use of AI in business, creative, or personal contexts carries inherent risks. You are an adult making an informed, voluntary decision to engage with these materials.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Nathaniel Solace, Solace Labs, and all affiliated parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of our products. Our total aggregate liability for any claim shall not exceed the amount you paid for the specific product giving rise to the claim.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless Nathaniel Solace, Solace Labs, and their officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our products, your violation of these terms, or your violation of any third party’s rights.

Products offered through NathanielSolace.com may reference, integrate with, or require the use of third-party platforms including but not limited to Anthropic (Claude), Make.com, Telegram, Kajabi, and Stripe. We are not affiliated with, endorsed by, or responsible for any of these platforms. Their use is governed by their respective terms of service.

11. Privacy & Data

11.1 Your Data

We collect only the information necessary to process your purchase and deliver your products (name, email, payment information). We do not sell your personal data to third parties.

11.2 AI and Your Data

When using AI tools as taught in our materials, you are responsible for what data you input into those platforms. We strongly recommend reviewing our Privacy & AI Safety Guide and the privacy policies of any AI platform before inputting sensitive information.

12. Dispute Resolution

12.1 Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating any formal dispute, you agree to contact Nathaniel Solace directly and attempt to resolve the matter informally within thirty (30) days.

12.3 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

13. Modifications

Nathaniel Solace reserves the right to modify these Terms and Conditions at any time. Changes become effective upon posting. Continued use of our products or services after changes are posted constitutes acceptance of the revised terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms and Conditions, together with our Privacy & AI Safety Guide and any product-specific terms presented at checkout, constitute the entire agreement between you and Nathaniel Solace / Solace Labs regarding your use of our products and services.
